Starting a business in the Netherlands

On average, it takes two days to form a company in The Netherlands. Several formation requirements – all handled in Dutch or English – need to be filed accurately. The formation of the company can be taken care of without visit to The Netherlands if the shareholders provide us a legalised Power of Attorney. For the opening of a bank account a personal visit should be considered, if the director doesn’t have a Dutch social security number (which we can apply for the non-resident director).

Starting a business in Belgium

On average, it takes seven days to form a company in Belgium. Several formation requirements – all handled in local languages Dutch, French or German – need to be filed accurately. For the establishment of a branch a longer period of one to several weeks needs to be taken into account. The formation process can taken be taken care of remotely, when a Power of Attorney is issued. We can also open the bank account remotely for the purpose of the first capital deposit.

Depending on your business activities this might involve filing of financial statements (auch as the annual report of the board of directors) with the National Bank of Belgium; VAT returns; a social balance sheet; withholding tax returns; different records and Intrastat return; as well as statistical reporting with the National Bank of Belgium.

Starting a business in Germany

On average, it takes ten days to set up a company in Germany:
– Company name check with local chamber of commerce;
– Preparation of the necessary power of attorney to attend;
– The notarial deed for the incorporation (for remote formation of the company without visit to the notary);
– Attendance of notarial deed for incorporation upon power of attorney;
– Assistance with the preparation of the articles of association.

Starting a business in Spain

On average, it takes ten days to start a company in Spain, and it can be setup remotely by the shareholders. To set up a limited liability company in Spain (Sociedad Limitada, S.L., or Sociedad Ano?nima, S.A.) a deed of incorporation must be granted before a Spanish Notary Public and the following actions must be taken prior to incorporation:
– Company name Check, which shall be reserved in advance before the Central Registrar of Companies;
– Drawing up the Articles of Association;
– Drawing up the Power of Attorney, to be released by the shareholders, in order to appoint an attorney (Spanish speaker, to avoid any language issues) who will represent the shareholder(s) at the incorporation deed;
– Transferring the share capital to Spain;
– Applying for the Spanish fiscal code(s) for the share-holder(s) and non-resident future directors of the S.L./S.A.;
– Getting the Certified Electronic Mail of the S.L./S.A.
